Terms and Conditions
OUTLINED BELOW, ARE YELLOW BUNNY MARKETING'S BASIC TERMS AND CONDITIONS.
THESE TERMS RELATE TO THE GENERAL TRADING OF BUSINESS AND FOR ANY PROJECTS CREATED BY YELLOW BUNNY MARKETING.
TERMS ARE ALSO DETAILED / RECIPROCATED IN PROPOSALS PRESENTED TO OUR CLIENTS.
BY ACCEPTING OUR PROPOSALS, YOU AUTOMATICALLY ACCEPT THE TERMS & CONDITIONS:
PROPOSALS AND QUOTES

Proposals and scope of services are free and valid for a 30-day period unless otherwise stated on a proposal. Our clients are under no obligation to accept a proposal until the proposal is accepted by signature and/or written acceptance via email.

If you require Yellow Bunny Marketing to assist with creating content, copywriting or editing copy you will be billed ad hoc at an hourly rate or quoted separately as per the scope of services.

All quotes are estimated and can be subject to change.

A deposit of up to 50% is required for all production work.

A project will start on the approval of a proposal/scope of services and once a deposit is paid, should this be necessary.
SCOPE OF SERVICES / MEETINGS

We allow for a discretional amount of creative edits as part of our fee. This is outlined in proposals per project.

Any requested work, changes outside of discretional creative edits and changes to a scope of services will be agreed to upfront and charged for separately.

Changes must be requested in writing (email) or via a briefing template that Yellow Bunny Marketing will provide.

Client onboarded to Yellow Bunny Marketing will agree on upfront ways of working and tools to manage efficiencies and key deliverables during projects and ongoing retainers.

Scope of services and budgets are carefully monitored at Yellow Bunny to ensure value and ROI is being delivered. Weekly or monthly meetings will be required to align on the scope of services, project status updates and forthcoming requirements/projects.

Administration and filing are included as part of the Yellow Bunny service offering. A centralised file is transparent and open for our clients to operate on together with us out of Google Drive.
INFORMATION SHARING

Brand information is to be provided by the client through briefing and/or client onboarding. Supply of information such as logos, artwork/content to be used etc, to be supplied 30 days prior to a project commence. All information is to be supplied electronically unless we are requested to create this as part of a project.

Sourced images will be at the client’s expense and are not included in our fee.

The requested use of any Third Party tools or apps are at the client’s expense and are not included in our fee.

All work remains the property of Yellow Bunny Marketing until final payment is received.

Scope of services and proposals detail exacts. Information not detailed in a proposal should be deemed as not included and will need to be a separate consideration, cost or inclusion.

A project will only be published/released once it has been approved and/or proofed by the client. The final approvals on content is that of the client and Yellow Bunny take no responsibility for content errors beyond final client approvals.

Information is sensitive. As part of our client contractual agreements, we will ask for you to sign a separate section related to the POPI act to ensure we are all aligned and managing data ethically and managing data within the correct governance.

As business partners, we encourage and promote the sharing of each other wins and support in business through networking, social media and other such shared spaces to promote healthy business and referrals.
TIMINGS

Project timings are mapped in accordance to the requested deliverables and governed by the process. These processes are affected and influenced by team feedback, our own internal creative processes and final approvals. Timing plans can and will be adjusted when/if timings are changed, the scope of services are changed and /or availability for said timings and feedback sessions are changed.

Yellow Bunny take no responsibility for delays outside of our control such as the weather or failed equipment.

Yellow Bunny have the right to use content created, designed materials, copywriting and/or blog posts for Yellow Bunny's own marketing and promotional purpose.
FINANCE
-
Ongoing retainer work will be billed monthly and is payable in advance and within 7 days of the invoice date.

Late payments will incur an automated penalty fee of 10% of the total invoice amount.

If a project is cancelled at any time, all fees up to that point of work will be calculated and invoiced. This is payable within 7 days of the invoice date.

For the cancellation of retainer contacts, a one-calendar month notice is required in writing, after a minimal three (3) month contract duration, together with a formal exit interview to establish understanding of the cancellation.

Fees are worked out on a project to project basis and/or a scope of services, which will be determined by the full servicing team and our agency commission.

Changes and additions to our fees will be quoted and invoiced to the client. The client will be advised of all costs, changes and additions.

Any monthly packages or agreements are subject to change. Reasonable notice will be offered.

The client agrees to pay Yellow Bunny Marketing in accordance with the terms specified in each proposal/estimate.

Payment is due within 7 days from the date of the Invoice, unless otherwise agreed to between parties.

If a client fails to pay any invoice, Yellow Bunny Marketing reserves the right to withdraw associated materials or refuse completion and/or delivery of work until past due balances are paid. All materials or property belonging to the client, as well as work performed, may be retained as security until all just claims are satisfied. The client is responsible for any debt collection, legal or court fees that may be apparent in any legal queries.
CONTENT / COPYRIGHT

Social media posts are directed at your targeted audience and scheduled in advance. If you need specific posts, the content will need to be provided and further costs may be incurred pending the scope of services.

Some production content is created with third-party partners to Yellow Bunny. Any third-party project deliverables will fall under Yellow Bunny for the processing of project deliverables. Any queries, concerns or problems that may occur with any partnering third party will be managed quickly by all involved parties. The primary managing party remains Yellow Bunny with all project transactions in this regard.

Yellow Bunny Marketing has contracts with every partnered third party to ensure quality, timeous and cost-effective solutions for every project. All of Yellow Bunny's partners have been hand-selected and aligned to the Yellow Bunny Value set.

Please ensure you have the copyright for all material supplied. Under no circumstances will Yellow Bunny Marketing be held responsible for any copyright disputes.

If it becomes clear that material was provided without the required copyright, any infringement fees will be at the client’s cost. Yellow Bunny Marketing does not take any responsibility for content supplied without proper copyright whatsoever.

Yellow Bunny Marketing reserves the right to change these terms at any time. Please check this page periodically for changes. Your continued use of our site following the posting of changes to these Terms & Conditions will mean you accept those changes.
